Suppliers and service providers are selected in accordance with internal policies based on international human rights and environmental protection standards as well as applicable national laws.
I. Scope
1. These General Terms of Sale and Delivery apply to all sales and deliveries of goods, accessories and spare parts by Transnova GmbH. Conflicting and/or supplementary general terms and conditions of the customer do not apply to Transnova GmbH. This also applies if Transnova GmbH does not expressly object to such terms or performs its contractual obligations without reservation.
2. The document of which these terms form part contains all contractual provisions agreed with the customer. There are no side agreements.
3. These terms also apply to all future business with the customer.
II. Offer
1. All offers from Transnova GmbH are non-binding. They merely constitute an invitation to the customer to submit an offer.
2. Public statements by Transnova GmbH, the manufacturer of the delivered goods, or their agents — particularly in advertising or labelling — do not constitute descriptions of the goods' characteristics or any warranty thereof.
III. Prices
The prices of Transnova GmbH valid at the time of order confirmation apply to all sales. All prices are exclusive of VAT at the statutory rate applicable at the time of delivery. Should cost increases beyond Transnova GmbH's control occur at least six weeks after order confirmation and before delivery — for example increases in material or labour costs, public charges or other costs — Transnova GmbH is entitled to adjust prices accordingly. Transnova GmbH will substantiate such cost increases to the customer upon request.
IV. Payment terms
1. Where the contract provides for payment by letter of credit, the customer is obliged to open the letter of credit and deliver it to Transnova GmbH within seven (7) days.
2. Transnova GmbH is under no obligation to perform the contract prior to receipt of this letter of credit.
3. The customer must pay the purchase price after performance or completion, at the delivery date chosen by Transnova GmbH, within 30 days of receipt of the invoice; thereafter the customer is in default pursuant to § 286 (2) no. 2 BGB. Legal consequences are governed by § 288 BGB. Transnova GmbH reserves the right to charge storage and other costs where handover is delayed for reasons attributable to the customer.
4. Should the customer fail to meet its payment obligations, Transnova GmbH is entitled to withhold performance in whole or in part until outstanding amounts or security have been paid.
5. If Transnova GmbH is obliged to perform in advance and, after conclusion of the contract, a material deterioration in the customer's financial position occurs that jeopardises payment of the purchase price — in particular if the customer ceases payments or insolvency proceedings are applied for against the customer's assets — Transnova GmbH may refuse delivery until the purchase price is paid or security is provided. Transnova GmbH is entitled to withdraw from the contract if the customer fails to pay the purchase price or provide security within a reasonable period.
6. The customer is entitled to set-off or retention rights only if its counterclaims have been legally established or are undisputed.
7. The customer may not assign rights or claims under this contract to third parties without the prior written consent of Transnova GmbH.
8. If the customer defaults on a payment, all other claims become immediately due without the need for separate notice of default.
9. For deliveries and services to customers, it is expressly agreed that all costs of legal action by Transnova GmbH in the event of customer payment default — both judicial and extrajudicial — are borne by the customer.
V. Set-off
Transnova GmbH is entitled to set off any claims owed to the customer by Transnova GmbH against any claims owed to Transnova GmbH by the customer.
VI. Delivery and delay in delivery
1. Time specifications, in particular delivery times stated by Transnova GmbH, are only binding if expressly agreed as such by Transnova GmbH. Dispatch from the factory is decisive for compliance with delivery periods or dates. Transnova GmbH is under no obligation to meet confirmed delivery times if information, cooperation, or final product requirements needed from the customer for dispatch or delivery are received only after the order confirmation has been sent.
2. Delivery periods are reasonably extended in cases of delivery obstacles beyond Transnova GmbH's control. This applies in particular to disruptions in energy supply or transport, the imposition of an embargo, operational disruptions, industrial action, or late or failed supply to Transnova GmbH by its own suppliers. If performance becomes impossible for Transnova GmbH for the reasons stated, the relevant order is deemed cancelled. Transnova GmbH will inform the customer of such delivery obstacles without delay.
3. Transnova GmbH is entitled to make partial deliveries.
4. If the customer defaults in accepting a delivery made in accordance with the contract, Transnova GmbH has the right — without prejudice to other claims — to store the goods at the customer's risk and to recover from the customer any additional expenses incurred as a result of the default in acceptance (e.g. storage costs).
5. Should the customer fail to accept delivery despite the expiry of a reasonable grace period, Transnova GmbH is entitled to sell the goods elsewhere, free of third-party rights, and to invoice the customer for 20% of the purchase price as a minimum loss, unless the customer proves that the actual loss was substantially lower.
VII. Packaging and packaging costs
1. Where technically necessary, Transnova GmbH delivers goods packed in special transport frames, loading trestles or pallets and protected against rust.
2. The customer bears the cost of packaging. Loading trestles/frames used as packaging are not taken back. Transport frames remain the property of Transnova GmbH as marked and are considered loan packaging in circulation.
VIII. Liability for defects
1. Should the delivered goods have a material defect, Transnova will, at its discretion, remedy the defect or deliver defect-free goods (subsequent performance). If subsequent performance fails or is unreasonable for the customer, the customer may reduce the purchase price or withdraw from the contract. No further claims by the customer exist, except for claims under Clause IX (Liability).
2. The limitation period for liability for defects (warranty) is 24 months from delivery.
IX. Liability
1. Transnova GmbH is liable for damages only if a) liability is mandatory under applicable law, e.g. under the German Product Liability Act, or in cases of injury to life, body or health, b) Transnova GmbH culpably breaches a material contractual obligation (cardinal obligation) or a warranty, or c) the damage results from gross negligence or intent on the part of Transnova GmbH.
2. In all other cases, liability of Transnova GmbH for damages, regardless of legal basis, is excluded. In particular, Transnova GmbH is not liable for indirect damages, loss of profit or other financial losses of the customer.
3. In any case, liability is limited to the damage that Transnova GmbH could reasonably have foreseen at the time of contract conclusion based on the circumstances and facts known to it. This limitation of liability does not apply in the cases under paragraph 1(a) of this clause.
4. The exclusion and/or limitation of liability under the preceding paragraphs also applies to the personal liability of employees and vicarious agents of Transnova GmbH.
X. Force majeure
Notwithstanding the provisions of Clause IX (Liability), Transnova GmbH is not responsible or liable for any disruption or delay in the performance of any part of this contract resulting from events beyond Transnova GmbH's control, including strikes or industrial action. Should such events persist for more than 30 days, either party has the right to withdraw from the contract with immediate effect by declaration to the other party, without any claim for damages or losses.
XI. Obligations of the customer
1. Should the goods be manufactured according to the customer's drawings, design, labels, trademarks or other specifications, the customer undertakes to indemnify Transnova GmbH against any liability for infringement of intellectual property rights such as patents, utility models, design rights or copyrights to which Transnova GmbH is exposed as a result of the goods conforming to those specifications.
2. In the event of transport damage, the customer must promptly arrange for a report to be made with the responsible authorities.
XII. Retention of title
1. Transnova GmbH retains title to the delivered goods (reserved goods) until all present and future claims arising from the business relationship with the customer have been satisfied.
2. Processing or treatment of the goods is always carried out for Transnova GmbH as manufacturer, but without obligation for Transnova GmbH. If Transnova GmbH's title is extinguished through processing, Transnova GmbH acquires co-ownership of the resulting item in proportion to the value of the delivered goods to the other processed goods at the time of processing. If the customer acquires sole ownership through combination or mixing, the customer hereby transfers co-ownership to Transnova GmbH in proportion to the value of the delivered goods to the other combined or mixed goods at the time of combination or mixing. Co-ownership acquired by Transnova GmbH under these provisions passes to the customer under the same conditions as the goods delivered by Transnova GmbH.
3. The customer is entitled to resell the reserved goods in the ordinary course of business. The customer hereby assigns to Transnova GmbH in advance all present and future claims, in the amount of the invoice amount (including VAT), arising from the resale of these goods. Transnova GmbH hereby accepts this assignment. The customer remains entitled to collect this claim even after the assignment. Transnova GmbH's right to collect the claim itself remains unaffected. Transnova GmbH undertakes not to collect the claim as long as the customer meets its payment obligations from the proceeds received, is not in default of payment, and in particular no application for insolvency proceedings has been filed or payments have not been suspended.
4. Any other use of the reserved goods by the customer is prohibited. In particular, the customer is not entitled to assign the reserved goods as security or to pledge them. Claims assigned to Transnova GmbH may only be pledged or assigned as security to third parties with the prior consent of Transnova GmbH.
5. The customer must promptly notify Transnova GmbH in writing of any third-party interference with or seizure of the reserved goods. The customer bears the costs necessary to protect Transnova GmbH's rights, insofar as these cannot be recovered from the third party.
6. If the customer breaches a material contractual obligation, in particular if it defaults on payment, Transnova GmbH is entitled to repossess the reserved goods at the customer's expense or to demand assignment of any rights of possession the customer holds against third parties. Furthermore, Transnova GmbH is entitled to revoke the customer's right of resale and any collection authorisation, to collect the claims itself, and to use, exploit or resell the reserved goods.
7. Repossession or sale of the reserved goods by Transnova GmbH does not constitute withdrawal from the contract. Transnova GmbH may offset the proceeds from the sale of the reserved goods against outstanding claims. The customer is liable for any shortfall if the proceeds are lower than the purchase price.
8. If the value of the existing security exceeds the secured claims by more than 50% in total, Transnova GmbH is obliged, at the customer's request, to release security at Transnova GmbH's discretion.
9. Where Transnova GmbH is entitled to repossess the reserved goods, the customer must irrevocably grant Transnova GmbH and its representatives access to its business premises during normal business hours and permit removal of the goods.
XIII. Proof of export
If a customer resident outside the Federal Republic of Germany (foreign customer), or its agent, collects goods and transports or dispatches them outside the country, the customer must provide Transnova GmbH with the tax-required proof of export. If this proof is not provided, the customer must pay the VAT rate applicable to deliveries within the Federal Republic of Germany on the invoice amount.
XIV. Governing law, jurisdiction
1. The contractual relationship is governed by the law of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
2. The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Cologne. Notwithstanding the above jurisdiction agreement, Transnova GmbH may also sue the customer at its place of business.

This is implemented through thorough due diligence, honest disclosure and continuous improvement of our policies and processes.
These requirements are communicated to our suppliers and service providers. Our management is responsible for respect for human rights and the environment throughout the supply chain.
To comply with international human rights standards, national laws and our company policies, we regularly conduct risk analyses to identify, assess and address potential and actual negative impacts on human rights and the environment in our business activities and supply chain. Risks, measures and their effectiveness are reported to management annually and on an ad-hoc basis.
